Spin-off companies foundation

In pursuit of its statutory aims of local development, the university may participate in the foundation of limited companies, to promote the exploitation of the university research results and technology transfer.

The establishment of a spin-off must be formally and exclusively proposed by university employees. Natural and/or legal persons (companies), other than those indicated but interested in supporting and promoting the spin-off, may participate in the company.

Two types are possible:

  • University spin-offs, in which the University also participates in the share capital;
  • Academic spin-offs, in which the University does not have a participation in share capital, but that of professors, researchers and other structured academic staff.

According to Legislative Decree No. 175 of 19 August 2016, the recommended form is currently the academic spin-off.

  • possibility of exploiting research results in an entrepreneurial mode and developing new innovative products or services
  • opportunity to benefit from advantageous conditions during the incubation period
  • employment opportunities for students and graduates

Activation modes

Proposals must be submitted to the Technology Transfer Office, which prepares the dossier for the Spin-off Commission, which provide the administrative bodies with its opinion.
The proposal is then submitted to the Board of Directors for approval following the opinion of the Academic Senate.
Proposals are assessed by the decision-making bodies on the basis of the information provided by the proposers by filling in the forms attached below, in compliance with the provisions of the Spin-off Regulation.

  • Deliberations of the Councils of the Departments of affiliation of the proposing partners and hosting the spin-off (if different from the previous ones)
  • Statute proposal Articles of association (in free form)
  • Agreement

Documents to be submitted for the university spin-off proposal

  • Spin-off proposal form
  • Business Plan
  • Deliberations of the Councils of the Departments to which the proposing partners belong and hosting the spin-off (if different from the previous ones)
  • Articles of Association (Company statute)
  • Shareholders' agreements
